Welcome to jakov.xyz. These Terms and Conditions ("Terms") govern your use of the services provided by Jakov, operated under Verbosari d.o.o. za usluge prevođenja ("Service Provider"). By accessing or using our services, you agree to comply with and be bound by these Terms.

1. Scope of Services

The services provided by Jakov ("Services") include but are not limited to:

  • Language services
  • Language consulting
  • Localization strategy
  • ISO certificate auditing
  • Mentoring services

The Service Provider reserves the right to modify, add, or discontinue any Services at its discretion.

2. Order of Services

By accepting an offer through any means (including but not limited to a signed contract, email confirmation, text message, or through our project management system), the Client (individual or legal entity) gives consent for the provision of Services as outlined in the offer. The Client agrees to provide accurate personal and/or company data necessary for the Service Provider to fulfill its obligations.

Confirmation of Order:

An inquiry or request for an estimate does not constitute an order. The Services will only be provided upon receipt of a confirmed order, which can be made via an official order, email, or through our payment process.

3. Confidentiality and Trade Secrets

All personal data, information, and materials provided to the Service Provider will be safeguarded as confidential trade secrets and will not be disclosed to third parties without the Client's consent, except as required by law.

  • Data Protection: Personal data will be processed in accordance with the General Data Protection Regulation (GDPR).
  • External Collaborators: All external service providers are required to keep confidential information and trade secrets secure.
  • Material Return/Destruction: At the Client's request, all materials shall be returned or permanently destroyed.

4. Terminology

If the Client requires specific terminology, it must be communicated during document submission. If terminology is not provided, the Service Provider will use generally accepted translations and publicly available resources. Clients may request a separate glossary creation service.

5. Deadlines

Delivery timelines will be agreed upon in advance and specified in the offer. The Service Provider shall notify the Client of any force majeure situations (e.g., natural disasters, labor disputes) that may affect delivery schedules. If non-editable formats are provided by the Client, the Service Provider will not be liable for format loss.

6. Fees and Payment

  • Pricing: Fees will be based on the nature of the Services, volume of text, or time required for completion. The smallest unit for calculation is one word.
  • Payment Terms: All Services must be prepaid unless otherwise agreed. An order will not be executed until payment confirmation is received.
  • Late Payments: Late payments will incur statutory interest and may lead to suspension of Services until payment is fulfilled.

7. Complaints and Dispute Resolution

Complaints regarding Services must be submitted in writing within seven (7) days of receipt. Justifiable complaints will be reviewed and addressed promptly. The Service Provider will not accept complaints related to urgent Services.

Grounds for Justifiable Complaints:

  • Inaccuracy in Subject Matter: The delivered service contains inaccuracies or misinterpretations related to the content or subject matter that affect the effectiveness or integrity of the intended communication, undermining the purpose of the language consulting, localization, or auditing processes.

  • Inconsistency with Client Requirements: The service provided does not align with the specifications or requirements outlined by the Client during the initial consultation or project briefing, including specific methodologies or frameworks that were agreed upon.

  • Substandard Quality of Deliverables: The final product (e.g., reports, assessments, or localized content) does not meet professional standards for accuracy, clarity, or usability. This includes issues such as unclear language, lack of coherence, or insufficient detail that limits practical application.

  • Failure to Address Feedback or Revision Requests: The Service Provider does not adequately incorporate feedback or revision requests made by the Client, resulting in a final product that does not fulfill the agreed objectives or standards.

  • Breach of Confidentiality or Data Protection: The Service Provider fails to maintain confidentiality regarding sensitive information shared by the Client during consultations or audits, or does not comply with data protection regulations resulting in unauthorized disclosure or use of the Client's information.

8. Liability Limitations

The total liability of the Service Provider shall be limited to the amount paid for the specific Service in question, except in cases of gross negligence or misconduct. The Service Provider shall not be liable for indirect, incidental, or consequential damages, including loss of profits.

9. Copyright and Use of Materials

All intellectual property rights, including copyrights and usage rights for texts, translations, and documentation produced remain with the Service Provider, unless expressly agreed otherwise in writing.

10. Client References

The Service Provider reserves the right to include the Client's name in promotional materials as a client reference unless the Client explicitly requests otherwise in writing.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force.

12. Jurisdiction

These Terms shall be governed by and construed in accordance with Croatian law. Any disputes arising in relation to these Terms shall be under the jurisdiction of the Commercial Court in Split.

13. Miscellaneous

These Terms were originally written in Croatian. The Croatian version will prevail in the case of any discrepancies.
